Battle of Forms

It may occur that the party making an offer declares its general terms and conditions applicable to this offer. The other party can then declare its own general terms and conditions applicable upon acceptance. Then, the question is which general terms and conditions apply in such a case. This situation is called the “battle of forms”.

The applicable rule is that the terms and conditions referred to second are not applicable if the terms and conditions referred to first have not been explicitly rejected.
