Letter of Intent

A Letter of Intent (LOI) is a written overview of the most important conditions of a yet to be concluded business agreement. A Letter of Intent is similar to a term sheet, but unlike a term sheet, it is not drawn up point by point. The purpose of a Letter of Intent is generally that it is not binding, but only leading in the negotiations. This non-binding character will have to be made clear by the chosen formulations of the conditions.
